Terms and Conditions (GTC) for Cygn.ai Services
§1 Subject of the Contract These general terms and conditions govern contracts with SMP Rocket Tech, hereinafter referred to as "SMP Rocket Tech", for services related to personnel campaigns, including optimized regional and national internet advertising. Services encompass search engine advertising, social media advertising, performance-based advertising, advertising on job portals, and other targeted online marketing measures.
§2 Subject to Change SMP Rocket Tech reserves the right to modify these General Terms and Conditions and related service descriptions with prior notice. Changes will be communicated to the client at least 6 weeks in advance. Clients may object to changes within a 4-week notice period. Otherwise, the changes are considered approved.
§3 Description of Services SMP Rocket Tech offers comprehensive online marketing services aimed at generating more prospects for job advertisements. This includes discretionary use of the client's budget for measures deemed sensible by SMP Rocket Tech, without the obligation to disclose details to the client.
§4 Telephone Services Clients receive a unique tracking telephone number for each campaign. This number is free of charge up to a monthly limit of EUR 50.00 in telephone charges. SMP Rocket Tech uses third-party services for the telephone line. SMP Rocket Tech is not liable for any supplier failures that disrupt the telephone service.
§5 Exclusivity SMP Rocket Tech may manage similar search terms and channels for different clients simultaneously. There is no exclusivity claim for advertising placement as part of the personnel campaign.
§6 Client Participation Clients are required to provide all necessary information, content, and data in the specified format for the personnel campaign.
§7 Free Website Clients receive a free website for the duration of the contract, managed and content-filled by SMP Rocket Tech. The website is based on a template developed by SMP Rocket Tech, aimed at personnel acquisition.
§8 Warranty SMP Rocket Tech guarantees that services will substantially fulfill the functions described in the service description valid at the time of contract conclusion.
§9 Copyright and Usage Rights All copyrights and other rights for content created as part of the personnel campaign belong to SMP Rocket Tech unless expressly granted to the client. The client grants SMP Rocket Tech the necessary rights to use the client's trademarks, logos, and content for the service.
§10 Pricing, Payments, and Due Dates Prices are net plus applicable VAT. Invoice amounts are due upon receipt without deductions. SMP Rocket Tech reserves the right to stop campaigns for unpaid services.
§11 "Money-back Guarantee" This guarantee includes reimbursement up to the invoiced amount for each campaign if no requests are made via the provided website or telephone number during the campaign period.
§12 Contract Offer and Term A contract is concluded upon client order placement and SMP Rocket Tech's order confirmation. The standard contract term is 2 months, starting from the campaign's online date.
§13 Termination Early termination without cause obligates the client to pay costs that would have accrued until the contract's regular end.
§14 Extraordinary Termination SMP Rocket Tech may terminate the contract early for important reasons, including the client's failure to cooperate or comply with essential contractual obligations.
§15 Responsibility and Exemption The client is responsible for the legality and rights compliance of content provided to SMP Rocket Tech. SMP Rocket Tech is not liable for copyright infringements by client-provided content.
§16 Liability SMP Rocket Tech's liability is limited to intent, gross negligence, and the violation of essential contractual obligations.
§17 Confidentiality The client agrees to keep all business secrets and confidential information received from SMP Rocket Tech confidential for at least 2 years post-contract.
§18 Marketing & Advertising SMP Rocket Tech may use the client as a reference in its marketing materials with the client's written consent.
§19 Data Protection SMP Rocket Tech complies with German data protection laws and may share necessary data with third-party companies for campaign execution.
§20 Applicable Law and Jurisdiction All legal disputes fall under the jurisdiction of Baia Mare, Romania. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
